Commercial Due Diligence: Danish retailer needed help to expand Nordic position

A Danish retailer aimed to strengthen its position in the Nordics as part of its 2026 Corporate Strategy. An opportunity arose to make a vertical acquisition in one of the Nordics Markets, potentially 5-folding its activities in the country.

To ensure the right decision was made effectively, the client contacted CoreConsult. CoreConsult was engaged to act as Project Lead in the overall M&A process and to assist the decision-making process. Furthermore, CoreConsult performed commercial due diligence to understand the market, assess company performance, and identify potential synergies.

Our approach

Throughout a four-week process, CoreConsult took different roles to ensure the right decision was made.

  1. Project Lead: CoreConsult acted as Project Lead during the M&A process, involving various external advisors for tasks such as Financial and Legal Due Diligence.

  2. Commercial Due Diligence: Utilizing the expertise of CoreConsult’s in-house retail experts and market data a comprehensive commercial due diligence was conducted based on the client’s needs. This included both internal and external perspectives.

  3. Business case and decision paper for Board of Directors: In close collaboration with the Management team, CoreConsult created the business case and supported the internal decision-making process and prepared materials used in discussions with the BoD.

The topics covered in the scope of the Commercial Due Diligence included both long-term and short-term considerations, focusing on both internal and external factors:

Project scope

Based on the due diligence perspectives reflected in the business case, the client had a stronger foundation for making the right decision. The detailed understanding of the market included an analysis of the macro-economic environment, industry sensitivity to cyclicality, and an assessment of the strategic rationale and potential integration strategy.

Additionally, the business case provided a detailed forecast of the business plan towards 2028, including estimates of e.g. impact, the size and phasing of potential synergies, the quantification of risks, and a free cash flow analysis. This allowed for a thorough understanding of the potential financial outcomes.

Ultimately, a proposal with clear recommendations was developed for discussion with the client’s BoD. Through this process, the client gained the clarity and insight necessary to make an informed decision on whether to proceed with the purchase.
